Terms of Service
Last updated: September 27, 2026.
These Terms of Service ("Terms") are an agreement between you and Spinf Inc. ("spinf", "we", "us"). They govern your use of the spinf website, the console and the spinf API (together, the "Service").
By creating an account, creating or using an API key, adding credit, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of a company or other organization, you confirm that you are authorized to accept these Terms for it, and "you" includes that organization. If you do not agree, do not use the Service.
The Service is provided by: Spinf Inc., 535 Paris St, San Francisco, CA 94112, United States. Contact: support@spinf.com.
Summary
This summary is for convenience only; the full Terms below apply.
- You must be an adult under the law that applies to you. Businesses and consumers can both use the Service.
- The Service is in beta: models, fields, prices and limits may change, and there is no uptime commitment.
- You pay in advance with prepaid credit. A call is charged for its billed tokens, with a minimum per call.
- Your content is yours. We process it only to return your scores. We do not store it by default, and we never use it to train models.
- Scores are probabilities computed by a model. They can be wrong, and they are not advice.
- Keep your API keys secret. Calls made with your keys are charged to your account.
- If you use spinf for an organization, we may list it as a customer, with its logo. Ask us and we will stop.
1. Definitions
- Account: your spinf account, and the organization it belongs to, with its credit, API keys and settings.
- API: the spinf programming interface at
api.spinf.com, including/v1/scoreand/v1/chat/completions. - API key: a secret key (starting with
ssk-) that authenticates calls to the API for your Account. - Console: the part of the website where you manage your Account, API keys, usage and billing.
- Credit: the prepaid balance of your Account, in US dollars, from which calls are charged.
- Customer Content: everything you send to the Service to be scored: messages, inputs, templates, options, combinations, images and audio.
- Output: what the Service returns for your Customer Content, such as probabilities, log probabilities, floors, residuals, warnings and token counts.
- Consumer: a natural person who uses the Service for purposes outside their trade, business, craft or profession.
- Documentation: the documentation published at spinf.com/docs.
2. Eligibility and your Account
- You must be recognized as an adult by the law that applies to you. The Service is not directed at children.
- The information you give us when you sign up and when you add credit must be accurate and kept up to date.
- You are responsible for your Account and for everything done with it and with its API keys, including calls made by anyone you give a key to.
- Keep your API keys secret. Do not put them in public code, client-side applications or shared documents. If a key may have been exposed, revoke it in the Console and tell us at support@spinf.com. Calls made with a key before it is revoked are charged to your Account.
- One person or organization may not open several Accounts to obtain more free credit or to get around limits.
3. Beta and preview features
- The Service is in beta. Models, request and response fields, prices, limits and features may change, sometimes without notice, and the Service may be interrupted for maintenance or upgrades. Unless you have a separate written agreement with us, there is no service level commitment.
- Some features are in preview and are enabled per Account on request, such as image and audio input. Preview features may change, be limited or be withdrawn at any time. They are provided "as is", even more so than the rest of the Service.
4. Prices, credit and payment
- Prepaid credit. Calls are charged to your Account's Credit. You add Credit in the Console. Payments are processed by our payment provider (Stripe), whose terms also apply to the payment. We do not receive or store your full card number.
- Prices. Prices are per model, per million billed tokens, and are shown on the Pricing page and in the Documentation. How billed tokens are counted is described in the Documentation. It includes a minimum number of billed tokens per call, which is set per model. Prices exclude taxes unless stated otherwise, and you are responsible for any taxes that apply to your purchases.
- What is charged. A call is charged after it is scored. A call that is refused before scoring, or fails in our engine, is not charged. A call needs a minimum Credit balance to start (see the Documentation). Calls running at the same time may take the balance slightly below zero. You owe that amount, and it is deducted from your next Credit purchase.
- Price changes. We may change prices. New prices apply only to calls made after they are published. We will announce price increases in advance, by email or in the Console.
- Free credit. Free or promotional credit, such as the credit given to new Accounts, has no cash value, cannot be transferred, and is not refundable. We may change or end these offers, and we may remove free credit obtained in breach of these Terms, for example with several Accounts.
- Refunds. Purchased Credit does not expire while your Account is open. It is not refundable, except where the law requires a refund, where we decide otherwise, or where we end the Service or close your Account without cause (see section 15). If you think a charge is wrong, tell us within 60 days. Disputing a charge with your bank before contacting us may lead to the Account being suspended while the dispute is open.
- EU and UK Consumers. You may have a right to withdraw from a Credit purchase within 14 days. By using Credit in that period you ask us to start providing the Service and accept that the right to withdraw does not apply to the Credit already used.
5. Limits
Your Account has limits on request size, rate, concurrency and other aspects of use, as described in the Documentation. We may change them, in general or for your Account. Do not try to get around them, for example by spreading traffic across several Accounts.
6. Your content
- Ownership. You keep all your rights in your Customer Content. You grant us a limited license to host, copy, transmit and process it, only to provide the Service to you, keep it secure, give you support you ask for, and comply with the law.
- Processing, not storage. Customer Content is processed to compute your Output and then discarded. By default it is not stored, and our logs keep token counts only. We store Customer Content only if we agree with you in writing to retain it, and then only for the agreed period.
- No training. We do not use your Customer Content or your Output to train or improve models.
- Your responsibility. You confirm that you have all the rights, permissions and legal bases needed to send your Customer Content to the Service and to use the Output as you do. If Customer Content includes personal data, you are responsible for having a lawful basis to process it, and we process it on your behalf. A data processing agreement is available on request. Do not send special categories of personal data (such as health data) unless it is necessary and lawful.
7. Output
- It is yours. As between you and us, and subject to these Terms, you own the Output of your calls and may use it for any lawful purpose.
- Probabilities, not facts. Output is computed by statistical models. It can be inaccurate, incomplete or biased, and a question worded differently can give different results. Scores for the same request can vary slightly between calls and between the systems that compute them (typically within 1–2%). Other users may get similar Output.
- Not advice. Output is not financial, investment, legal, medical or any other professional advice, and it is not a recommendation to buy or sell anything. You are responsible for how you use it.
- Decisions about people. Do not use Output as the only basis for decisions with legal or similarly significant effects on individuals, such as credit, employment, housing, insurance, education or access to essential services, without appropriate human review and compliance with the laws that apply to those decisions.
8. Acceptable use
You may use the Service only for its intended purpose, under these Terms and the law. You alone are responsible for making sure that your use of the Service does not break any law, regulation or third-party right. You must not, and must not help others to:
- use the Service for anything illegal, or to infringe or misappropriate the rights of others;
- send content that sexually exploits or endangers children, or use the Service to harass, threaten or defraud anyone;
- identify or categorize individuals from biometric data (such as faces or voices) in images or audio, or carry out unlawful surveillance or profiling;
- attempt to extract model weights, reverse engineer the Service, or systematically collect Output to build a competing model or service;
- probe, scan or test the security of the Service without our written permission, or bypass authentication, limits or billing;
- interfere with the Service or other users, send malware, or place an unreasonable load on our systems;
- share, sell or resell API keys or direct access to the API, except as allowed in section 9;
- misrepresent where Output comes from, or suggest that spinf endorses your product without our permission.
Some models are based on third-party open-weights models whose licenses include use restrictions. Where such a license applies to a model you use, you must also comply with its use restrictions. We will tell you which terms apply on request.
9. Building on spinf
You may integrate the Service into your own products and services and offer them to your customers. You are responsible for your products and for your customers' use of them, and you must not let them use the Service in ways that these Terms do not allow. Keep API keys on your servers: your customers must not receive them.
10. Intellectual property
The Service, the website, the Documentation, the models and our trademarks, logos and other brand features are owned by Spinf Inc. or its licensors, and are protected by intellectual property laws and treaties. Except for the rights expressly granted in these Terms, no rights are transferred to you. You may not use our content in any way that is not necessary for the proper use of the Service.
If you send us feedback or suggestions, we may use them freely, without any obligation to you.
Customer references. If you use the Service on behalf of an organization, we may name that organization as a spinf customer and show its logo on our website and in our marketing materials, following any brand guidelines you give us. We will not describe how you use the Service, publish results or quote you without your permission. If you prefer not to be listed, write to support@spinf.com: we will remove the reference from our website within 30 days and leave it out of new materials.
11. Third-party services
The Service relies on third-party services, such as the sign-in service that manages your login and the payment provider that processes your payments, and the website may link to other websites. We do not control third-party resources and are not responsible for their content or availability. Their own terms and privacy policies apply.
12. Privacy and security
Our Privacy Policy explains how we handle personal data. We use reasonable technical and organizational measures to protect the Service and your data. You are responsible for securing your own systems, credentials and copies of your data.
13. Export controls and sanctions
You must comply with the export control and sanctions laws that apply to you and to the Service. You confirm that you are not located in a country or region subject to comprehensive U.S. sanctions, and are not a sanctioned person or acting on behalf of one.
14. Changes to the Service
We may change, add or remove features and models. We will give reasonable notice before retiring a model that is generally available, where we can. We may interrupt the Service for maintenance, updates or other changes, and we will inform users appropriately. The Service may also be unavailable for reasons outside our control (see section 20).
15. Suspension and termination
- By you. You can stop using the Service at any time, and close your Account by writing to support@spinf.com.
- By us. We may suspend or limit your Account immediately if you breach these Terms, if your use creates a risk for the Service, other users or third parties, if a payment fails or is disputed, if we suspect fraud, or if the law requires it. We may close your Account for serious or repeated breaches, or with 30 days' notice for any other reason. We may also end the Service altogether with 30 days' notice.
- Credit. If we close your Account or end the Service without cause, we refund your unused purchased Credit. If we close it because you breached these Terms, unused Credit is forfeited where the law allows it.
- Your data. When the Service or your Account ends, we will cooperate with you so that you can retrieve your Account data, as the law requires. We then delete it, except for what we must keep (see the Privacy Policy).
16. Disclaimer of warranties
The Service is provided strictly "as is" and "as available", and you use it at your own risk. To the maximum extent permitted by law, spinf expressly disclaims all conditions, representations and warranties, whether express, implied, statutory or otherwise. This includes any implied warranty of merchantability, fitness for a particular purpose, and non-infringement. No advice or information, oral or written, that you get from us or through the Service creates any warranty that is not stated in these Terms.
In particular, spinf and its affiliates, licensors, officers, directors, employees, agents, partners and suppliers do not warrant that:
- Output is accurate, reliable or correct;
- the Service will meet your requirements;
- the Service will be available at any particular time or place, uninterrupted or secure;
- defects or errors will be corrected;
- the Service is free of viruses or other harmful components.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the exclusions above may not apply to you.
17. Limitation of liability
To the maximum extent permitted by law, spinf and its affiliates, licensors, officers, directors, employees, agents, partners and suppliers will not be liable for:
- any indirect, incidental, special, consequential, exemplary or punitive damages;
- any loss of profits, revenue, business, trading losses, goodwill, data or anticipated savings, arising out of or relating to the Service or your inability to use it;
- any damage or loss caused by unauthorized access to or use of the Service, your Account or your API keys;
- any damage or loss caused by errors or inaccuracies in the Output, or by decisions made on the basis of the Output;
- any damage or loss caused by interruptions of the Service, viruses or other harmful code, or the conduct of any third party.
To the same extent, our total liability for all claims relating to the Service or these Terms is limited to the amount you paid us in the 12 months before the event giving rise to the claim. This applies whatever the legal basis of the claim (contract, tort, negligence, strict liability or other), even if we have been advised of the possibility of the damage.
Some jurisdictions do not allow these exclusions or limitations, and they do not apply to the extent prohibited by law.
EU and UK users
For users in the European Union and the United Kingdom, the following replaces the paragraphs above, to the extent the law requires. Nothing in these Terms limits our liability for death or personal injury caused by our negligence, for fraud, or for intent or gross negligence. We are also liable for breaches of essential contractual obligations, that is, obligations strictly necessary to achieve the purpose of the contract. Unless damages are caused by intent or gross negligence, or affect life, health or physical integrity, our liability is limited to the damages that were typical and foreseeable when the contract was entered into. For users who are not Consumers, the limit of the previous section also applies.
Australian users
Nothing in these Terms excludes, restricts or modifies any guarantee, condition, warranty, right or remedy that you have under the Competition and Consumer Act 2010 (Cth), or similar State and Territory legislation, and that cannot be excluded, restricted or modified (a "non-excludable right"). To the fullest extent permitted by law, our liability to you, including for a breach of a non-excludable right, is limited, at our choice, to supplying the services again or paying the cost of having them supplied again.
18. Indemnification
To the extent permitted by law, you will defend, indemnify and hold harmless spinf and its affiliates, officers, directors, employees, agents and partners from and against any third-party claims, demands, damages, obligations, losses, liabilities, costs and expenses (including reasonable legal fees) arising from:
- your use of the Service, including your Customer Content and your use of the Output;
- your breach of these Terms;
- your violation of any law or of any third-party right, including privacy and intellectual property rights;
- any use of your Account or your API keys, including by your customers or by anyone you gave access to.
This section does not apply to Consumers to the extent that the law applicable to them prohibits it.
19. Changes to these Terms
We may change these Terms. We will publish the new version on this page with a new date. We will notify you of material changes by email or in the Console before they take effect, and the changes apply only to the future. If you keep using the Service after the changes take effect, you accept the new Terms. If you do not accept them, you must stop using the Service, and you may close your Account.
20. General
- Force majeure. We are not liable for any delay or failure caused by events beyond our reasonable control. Such events include failures of power, networks, cloud or hardware providers, strikes, natural disasters, epidemics and cyber attacks.
- Separate agreements. If you have a separate written agreement with us, for example for a private deployment or for support, it prevails over these Terms where they conflict.
- Assignment. We may transfer our rights and obligations under these Terms, for example as part of a merger or an acquisition. You may not transfer yours without our written permission.
- No waiver. Our failure to enforce a right or provision of these Terms is not a waiver of that right or provision.
- Severability. If a provision of these Terms is invalid or unenforceable, the rest of the Terms remain in effect. The invalid provision will be interpreted, or replaced by a valid provision, to achieve its original intent as closely as the law allows. For EU Consumers, it is replaced by the applicable statutory provisions.
- Entire agreement. These Terms, the Privacy Policy and any separate agreement mentioned above are the entire agreement between you and spinf about the Service.
- Notices. We send notices to the email address of your Account. You send notices to support@spinf.com.
21. Governing law and disputes
These Terms are governed by the laws of the State of California and the federal laws of the United States, without regard to conflict of laws principles. The state and federal courts located in San Francisco County, California, have exclusive jurisdiction over any dispute arising from or relating to these Terms or the Service.
- U.S. users: each party waives any right to a jury trial. Claims may only be brought individually, and not as a plaintiff or class member in any class, collective or representative proceeding.
- EU, Swiss, Norwegian and Icelandic Consumers: if the law of the country where you live gives you greater protection, it prevails. You may also bring proceedings in the courts of that country.
- UK Consumers: consumers in England may bring proceedings in the English courts. Consumers in Scotland may bring them in the Scottish or English courts, and consumers in Northern Ireland in the Northern Irish or English courts.
22. Surviving provisions
Some provisions continue after these Terms or your Account end, because of their nature. These include:
- your payment obligations;
- sections 6 (the license ends when the processing ends), 7, 10, 16, 17, 18, 20 and 21;
- your indemnification obligations, for five years after termination.
